NOTICE of the CGIC Ontario Branch ANNUAL GENERAL MEETING to be held on Wednesday, June 28th, 2023, 5:00 p.m. EDT

NOTICE IS HEREBY GIVEN that the Annual General Meeting of the members of the Ontario Branch of the Chartered Governance Institute of Canada (formerly, the Institute of Chartered Secretaries and Administrators in Canada) will be held on Wednesday, June 28th, 2023, at 5:00 p.m. EDT via Zoom video conference to conduct the following business:

1. To receive the report of the Chair of the Branch Council;

2. To receive the financial statements for the years ended December 31st, 2021 and December 31st, 2022, together with the Auditor’s Reports thereon;

3. To appoint the Auditor for the financial year ending December 31st, 2023;

4. To elect members to the Ontario Branch Council to a two-year term, beginning June 28th, 2023:

• Suzanne Barrett, RF, FCG, P.Adm., Acc.Dir., DipAdEd, Prosci Certified – Governance Risk and Change Management, Financial Institution;
• Robin Dunn, C.E.T., M.A., FCG, P.Adm., Acc.Dir., ICD.D. – Chief Administrative Officer, Township of Oro-Medonte;
• Daniel Shepherdson, CPA, CMA, CIA, GCB.D. (ESG) FCG, P.Adm., Acc.Dir. – CFO, GoNorth Group; and
• Andrew Todd, LL.B., FCG, Acc.Dir. – Vice President, DSA Corporate Services Inc.

5. To nominate the following individuals to sit on the National Board of The Chartered Governance Institute of Canada for a three-year term:

• Suzanne Barrett, RF, FCG, P.Adm., Acc.Dir., DipAdEd, Prosci Certified – Governance Risk and Change Management, Financial Institution;
• Robin Dunn, C.E.T., M.A., FCG, P.Adm., Acc.Dir., ICD.D. – Chief Administrative Officer, Township of Oro-Medonte; and
• Daniel Shepherdson, CPA, CMA, CIA, GCB.D. (ESG) FCG, P.Adm., Acc.Dir. – CFO, GoNorth Group.
