Sapna Gupta is a board-focused governance, compliance and corporate secretarial leader with nearly two decades of experience advising boards and executive teams on oversight, accountability, regulatory confidence and long-term stakeholder trust across complex, multi-jurisdictional environments. Her career spans financial services, credit unions, listed-company environments, cybersecurity, corporate groups, not-for-profit organizations and governance advisory work. She brings a board-level perspective to governance, regulatory oversight, risk, ESG, stakeholder accountability and institutional decision-making.

As an Assistant Corporate Secretary at Libro Credit Union in Ontario, she contributes to the governance of a regulated, member-owned financial institution. Her work strengthens board and committee effectiveness, regulatory alignment, policy governance, director recruitment and succession, board development, AGM and member engagement, by-law modernization and governance operations. She brings clarity, structure and practical judgment to complex governance matters, helping boards and executive teams make informed and accountable decisions.

As a Director of Governance 360 Innovation Corp., Sapna contributes to governance leadership, professional standards, member engagement and practical board education in Canada. Through these roles, she advances the understanding of governance as a strategic function that supports trust, accountability, ethical leadership and long-term organizational resilience. She has also contributed to public education governance through her volunteer board-level service with Wilfrid Jury School Council in London, Ontario, reflecting her broader commitment to community leadership and stakeholder engagement.

Sapna’s professional background includes senior governance, corporate secretarial and compliance roles involving board advisory, corporate law compliance, securities and stock exchange compliance, risk governance, ESG-related governance, policy development, regulatory coordination, shareholder and member engagement, and support for boards and senior leadership teams in complex and regulated environments.

She is known for translating complex legal, regulatory and governance issues into clear board-level insight, practical frameworks and effective oversight tools. Her governance approach is grounded in role clarity, disciplined process, informed debate, ethical decision-making and strong stewardship.

Sapna holds the ACG designation from the Chartered Governance Institute of Canada and is a Fellow Member of the Institute of Company Secretaries of India. She is also a Certified Anti-Money Laundering Specialist, a Member of the Institute of Directors, and holds a bachelor’s degree.
