Board of Directors

According to Section 5.02 of the Chartered Governance Institute of Canada (CGIC) Bylaws, the board of CGIC shall consist of no less than three (3) directors and not more than twelve (12) directors.

Committee for Canada

According to a Delegation Agreement signed between The Chartered Governance Institute (the Institute), the Committee for Canada (the CFC) and The Chartered Governance Institute of Canada (the Corporation) on May 26, 2003, a supplemental agreement signed on July 9, 2003, between The Institute, the CFC and the United Kingdom Committee of The Institute, and an additional supplemental agreement signed on May 24, 2014, between The Institute and the CFC regarding the delegation of powers to the Canadian Division, the CFC will uphold the Charter and the bye-laws of The Institute including directions issued by the Council including the said agreements so far as they are not inconsistent with the laws and regulations of Canada.

According to Section 3.4(b) (1) and (2) of the CFC Rules, the Committee for Canada shall consist of no less than eight (8) directors and not more than twelve (12) directors.

Committees of the Board of Directors

According to Section 6.11 of the CGIC Bylaws, the board may from time to time appoint any committee or other advisory body, as it deems necessary or appropriate for such purposes and, subject to the Act, with such powers as the board shall see fit. Any such committee may formulate its own rules of procedure, subject to such regulations or directions as the board may from time to time make. 

As of June 26, 2024, there are five (5) committees and three (3) sub-committees supporting the work of the Board.
